These Regulations define the general terms, conditions and methods of sale conducted by De Care Group Spółka z ograniczoną odpowiedzialnością and Partners Spółka Komandytowo-Akcyjna with its registered office in Pieńków, via the online wholesale store. https://decare.pl/b2b (hereinafter referred to as the "Online Wholesale Store") and specifies the terms and conditions for the provision of free services electronically.
§ 1. DEFINITIONS

- Delivery - the actual act of delivering to the Customer by the Seller, through the Supplier, the Goods specified in the order type of transport service for the purpose of fulfilling the Order by the Customer
- Supplier – means the courier company with which the Seller cooperates in the scope of Delivery.
- Proof of purchase – an invoice issued in accordance with the Act on Tax on Goods and Services of 11 March 2004, as amended, and other applicable legal provisions, or a fiscal receipt with the buyer’s Tax Identification Number, duly confirming all the material terms of the contract.
- Working days – days of the week from Monday to Friday, excluding public holidays.
- Registration Form – a form available on the B2B Platform enabling the provision of contractor data and sending information about readiness to cooperate with the Seller and consent to possible registration on the B2B platform.
- The order form – Electronic Service, an interactive form available on the B2B platform enabling the submission of an order offer for specific products, in particular by adding Products to the electronic basket.
- Product card – a single subpage of the Website containing information about a single product.
- Klient – an entity for which, in accordance with the Regulations and legal provisions, services may be provided electronically or with whom a Sales Agreement may be concluded, excluding consumers, i.e. natural persons performing legal acts not directly related to their business or professional activity.
- Customer account – means an individual panel for each Customer, launched on his/her behalf by the Seller, after the Customer has registered and concluded an agreement for the provision of the Customer Account Management service.
- Cart – a list of products prepared from the products offered in the Wholesale Store based on Customers’ choices.
- Place of issue of the item – postal address or collection point indicated in the order by the Customer.
- Payment – method of payment for the subject of the contract and delivery.
- Product – the minimum and indivisible quantity of items that may be the subject of an order, and which is given on the Seller's website as a unit of measurement when determining its price (price/unit).
- Subject of the contract – products and delivery that are the subject of a given sales contract.
- Subject of the provision – goods that are the subject of the sales contract.
- Pickup point – the place of delivery of the item, which is not a postal address, listed in the cart summary on the website.
- Website – Online wholesale store available at https://decare.pl, through which the Customer can place an order.
- Seller – De Care Group Spółka. z ograniczoną odpowiedzialnością. i Wspólnicy Spółka Komandytowo-Jcyjna with its registered office in Pieńków, Pieńków 147a, 05-152 Czosnów NIP: 1180032372, REGON: 010793910, entered into the register of entrepreneurs maintained by the District Court for the capital city of Warsaw, 14th Commercial Division of the National Court Register under the KRS number 0001175365; e-mail:, being at the same time the owner of the Online Wholesale Store, represented by the general partner: DE CARE GROUP SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ with its registered office in Pieńków Pieńków 147a, 05-152 Czosnów, entered into the register of entrepreneurs maintained by the District Court for the capital city of Warsaw, Warsaw, 14th Commercial Division of the National Court Register under the KRS number 0000 415827, with the share capital of PLN 5.000, the Tax Identification Number (NIP): 5311688283, the Regon number: 146063310.
- System- a team of cooperating IT devices and software, ensuring processing and storage, as well as sending and receiving data via telecommunications networks using a terminal device appropriate for a given type of network, commonly referred to as the Internet.
- Sales agreement – means a sales contract concluded at a distance, on the terms specified in the Regulations, between the Customer and the Seller.
- User– website user
- Order– a declaration of will of the Buyer (offer within the meaning of Article 66 of the Civil Code) submitted via the Website, clearly specifying: the type and quantity of products; the type of delivery; the type of payment; the place of delivery of the goods and the Buyer’s data directly aimed at concluding the Agreement.
§ 2. GENERAL PROVISIONS
- The Agreement is governed by Polish law and will be interpreted in accordance with Polish law and the provisions of these Terms and Conditions. In the case of agreements concluded with Customers, the provisions of the United Nations Convention on Contracts for the International Sale of Goods, signed in Vienna on April 11, 1980, do not apply. All rights to the Online Store, including copyrights, intellectual property rights to its name, its internet domain, the Wholesale Store Website, as well as to templates, forms, and logos posted on the Online Store Website (excluding logos and images presented on the Online Store Website for the purpose of presenting goods, to which copyrights belong to third parties) belong to the Seller, and may only be used in the manner specified in and consistent with the Terms and Conditions and with the Seller's written consent. In order to use the images of the Goods posted on the Wholesale Store Website, the Customer should enter into a sublicense agreement with the Seller, as described in detail on the Wholesale Store Website.
- The Seller is obliged and undertakes to provide services and deliver goods free from defects.
- All prices quoted by the Seller are expressed in Polish currency. Each product is listed net and gross (including VAT). Product prices do not include shipping costs, which are specified in the order summary.
- Confirmation, disclosure, recording and securing of all essential provisions of the Agreement in order to obtain access to this information in the future takes the form of:
- order confirmation by sending an e-mail to the specified address,
- attaching a printed proof of purchase in the form of an invoice to the completed order, sent to the indicated place of delivery of the goods
- The Seller guarantees to the Buyer using the system that the Online Store will operate correctly in the following browsers: IE version 7 or later, Edge, FireFox version 3 or later, Opera version 9 or later, Chrome version 10 or later, Safari with the latest versions of JAVA and FLASH installed, on screens with a horizontal resolution above 1024 pixels. The use of third-party software that affects the operation and functionality of browsers: Internet Explorer, Edge, FireFox, Opera, Chrome, or Safari may affect the correct display of the website, therefore, in order to obtain the full functionality of the https://decare.pl Online Store, it may be necessary to disable them. The Seller will make every effort to ensure that the Online Store is accessible to Internet users using all popular web browsers, operating systems, device types, and internet connection types (speeds).
- In order to place an order on the Online Store via the Wholesale Website and to use the services provided electronically via the Wholesale Website, the Customer must register and have an active e-mail account.
- The Buyer may choose to have their data stored by the Wholesaler to facilitate the process of placing a subsequent order. To do this, the Buyer must provide a login and password, necessary to access their account. The login and password are a sequence of characters set by the Buyer, who is obligated to keep them confidential and protect them from unauthorized access by third parties. The Buyer may view, correct, update, or delete their account on the website at any time.
- The Seller uses cookies, which are saved by the Seller's server on the hard drive of the Customer's end device when Customers use the Wholesale Website. The use of cookies is intended to ensure the proper operation of the Wholesale Website on Customers' end devices. This mechanism does not damage the Customer's end device and does not cause any configuration changes in Customers' end devices or the software installed on these devices. Each Customer may disable the cookies mechanism in their end device's web browser. The Seller points out that disabling cookies may, however, cause difficulties or even prevent the use of the Wholesale Website.
- The Customer is prohibited from providing illegal content or using the Online Wholesale Store, the Wholesale Store Website, or free services provided by the Seller in a manner that is contrary to the law, good practice, or infringes the personal rights of third parties. The Customer is not permitted to use the resources and functions of the Online Wholesale Store to conduct activities that would violate the Seller's interests, i.e. advertising another entrepreneur or product; activities involving the posting of content unrelated to the Seller's activities; activities involving the posting of false or misleading content.
§ 3. PRICES, REGISTRATION AND PLACING ORDERS
- The Decare.pl wholesale website is available only to authenticated Customers who are registered in the Seller's database and have an active account.
- The Decare.pl wholesale website does not sell
- In order to place the first order, the Buyer should:
- Enter the website on the B2B subpage, available at https://decare.pl/b2b/ and complete the "New Customer Registration" form provided by the Seller on the Wholesale Website and submit the completed registration form electronically to the Seller by selecting the appropriate function on the registration form. During Registration, the Customer sets an individual Password.
- After submitting the completed registration form, the Customer will immediately receive a Registration confirmation from the Seller via email to the email address provided in the registration form. At this point, an agreement is concluded for the electronic provision of the Customer Account Management service, and the Customer will be able to access the Customer Account and make changes to the data provided during Registration on the website.
- After receiving login access from the Seller, the Buyer should log in to the B2B subpage, available at https://decare.pl/moje-konto/
- Add items to the cart in a given quantity
- Click on the "Your basket" button, which is displayed in the upper right corner of the website, then click on the "Order" button
- In the cart summary, accept the sales terms and conditions
- Place your order by using the "Buy and pay" button.
- Registration is necessary to place an order in the Online Wholesale Store.
- The Goods presented for sale on the Wholesale Website and their prices listed on the Wholesale Website do not constitute an offer by the Seller within the meaning of the Civil Code, but merely an invitation to Customers to enter into a contract within the meaning of Article 71 of the Civil Code. Placing an order by the Customer constitutes their offer, which must always be accepted by the Seller.
- Orders can be placed 24 hours a day, 7 days a week.
- Decare.pl shows products that currently have no price.
- The Seller allows the Buyer to inquire about the price of such a product via the "Ask for price" button.
- The "Ask for price" button is visible next to the product.
- Within 2 business days, the Seller will contact the Customer to provide the product price and availability.
- Prices listed on the Seller's Wholesale Website are expressed in Polish zloty (PLN). Prices are net (excluding VAT) and gross (including VAT).
- Before placing an order, the customer is informed about the minimum value of wholesale purchases via a message included in the order form.
- The selling price is current for items in stock. The price may change with new deliveries.
- The Seller reserves the right to change prices, and undertakes to immediately notify the Customer. If the Customer does not accept the new price, orders for specific Goods will not be fulfilled. In such a case, the contract will be deemed null and void.
- The price binding on the Customer is the price stated in the final order confirmation sent to the Customer or on the proforma invoice.
- After confirming the order, the Seller will send information about the order being accepted for processing to the email address provided by the Customer. This information about the order being accepted for processing constitutes the Seller's declaration of acceptance of the Customer's offer, and upon its receipt by the Customer, a Sales Agreement is concluded.
§ 4. PAYMENT AND DELIVERY
- Orders are delivered only within Poland.
- The delivery of all Orders is covered by appropriate insurance.
- Minimum order value on the website https://decare.pl/is PLN 1000 excluding VAT (net price).
- The delivery cost depends on the size of the order placed by the Customer and is specified in the order summary.
- The Seller does not process orders on Saturdays, Sundays and public holidays.
- Free shipping for orders placed on the website is possible after exceeding the minimum order value of PLN 1000 specified in the order summary.
- The buyer can use the following payment methods:
- Prepayment by bank transfer
- Payment in cash upon delivery by courier.
- The Seller may, based on individual arrangements with the Buyer, grant Buyers a status authorizing purchases with deferred payment. Upon positive verification of the User's payment capacity by the Seller's receivables insurer.
- The buyer who selects the "Prepayment by bank transfer" payment method will receive an e-mail containing confirmation of receipt of the order and the necessary information to make the transfer, as well as a proforma invoice.
- The transfer for the placed order must be made within 3 business days to the following bank account:

- Recipient's address: Pieńków 147A, 05-152 Czosnów, Poland
- Transfer title: order number
- Ordering Party: Your name and surname, company name
- Transfer amount: invoice amount
- The order will be processed immediately after the payment is credited to the Seller's account, of which the Buyer will be notified in an e-mail sent by the Seller confirming receipt of the payment.
- "Bank transfer with deferred payment" is available only to Customers with a deferred payment limit (in this case, order processing will begin immediately after the Seller sends the Customer confirmation of order acceptance, and the Customer is obligated to pay for the Goods under terms separately agreed upon with the Seller). All payment terms, such as the payment due date and the deferred payment limit, are located in the Customer Account, which the Customer can access at any time.
- If the Customer fails to pay for the placed order within the strictly defined deadline specified above in §4.10 of the Regulations, the Seller, as the authorized person, may, but is not obligated to, withdraw from the contract without setting an additional deadline, in accordance with Article 492 of the Civil Code. Withdrawal from the contract may occur within 3 business days from the date of conclusion of the Sales Agreement. In such a situation, after the payment deadline has expired, the Seller will send the Customer a declaration of withdrawal from the contract pursuant to Article 492 of the Civil Code. Failure to submit the above declaration entitles the Seller to demand the performance of the Contract concluded by confirming the order.
§ 5. PLACE AND DELIVERY TIME OF THE ORDER
- Place and date of order delivery:
- In the case of orders paid for by "Prepayment by bank transfer", the orders will be delivered to the address indicated by the Customer by the Supplier - the shipment will be ordered by the Seller's service no later than the next business day after the payment is credited to the account, the Supplier declares delivery no later than the second business day from the moment the order is submitted for processing.
- In the case of Cash on Delivery orders, they will be delivered to the address indicated by the Customer by the Supplier - the shipment will be ordered by the Seller's service no later than the next business day after receiving the order, the Supplier declares delivery no later than the second business day from the moment of placing the order for execution.
- In the event of a delay or inability to deliver the order on the date chosen by the Customer for reasons beyond the Seller's control, an employee of the Seller's Customer Service Office will immediately contact the Customer to arrange a different shipping date or cancel the order.
- On the day the Goods are sent to the Customer, information confirming that the Seller has sent the parcel is sent to the Customer's e-mail address.
- Upon receiving the shipment, the Customer is obligated to inspect its condition. If any damage or other concerns are found upon receipt of the Goods by the Customer, a complaint report must be prepared in the presence of the Supplier's employee, specifying the precise quantity and type of Goods and any damage, in accordance with the Supplier's procedure.
- The signing by the Customer or by a person authorized on his behalf to receive the Goods on a document confirming the release of the Goods without any comments or the lack of a separate complaint protocol when releasing the Goods is equivalent to the Customer checking the Goods and accepting them without any reservations.
- The Seller attaches a VAT invoice covering the delivered Goods to the shipment being the subject of Delivery.
- If the Customer is not present at the address they provided when placing the order as the delivery address, the Supplier's employee will leave a delivery note or attempt to contact them by phone to arrange a time when the Customer will be present. If the Supplier returns the ordered Goods to the Online Wholesale Store, the Seller will contact the Customer by email or phone to re-agree with the Customer on the delivery date and cost.
§ 6. COMPLAINTS AND RETURNS
- The Seller guarantees the Delivery of Goods free from physical and legal defects. The Seller is liable to the Customer if the Goods have a physical or legal defect (warranty).
- If the Goods have a defect, the Customer may:
- submit a declaration of withdrawal from the Sales Agreement, unless the Seller immediately and without undue inconvenience to the Customer replaces the defective Goods with defect-free ones or removes the defect. This limitation does not apply if the Goods have already been replaced by the Seller.
- Request the replacement of defective Goods with defect-free ones. The Seller is obligated to replace the defective Goods with defect-free ones or remove the defect within a reasonable time without undue inconvenience to the Customer. The Seller may refuse to satisfy the Customer's request if bringing the defective Goods into compliance with the Sales Agreement in the manner chosen by the Customer is impossible or would require excessive costs compared to the other possible method of bringing the defective Goods into compliance with the Sales Agreement. The Seller shall bear the costs of the replacement.
- Complaints regarding products can be submitted through the Decare.pl Customer Service Office by email with confirmation of receipt, or in writing by registered mail to the address provided in the Terms and Conditions. Customers exercising their warranty rights are obligated to deliver the defective item at their own expense to the following returns address: De Care Group, Prologis Park Błonie, Kopytów 44H, Hala DC4, 05-870 Kopytów.
- In order for a Complaint regarding physical or legal defects of purchased Products to be considered as quickly as possible, it should include:
- customer data,
- Order number,
- description of the Product defect,
- any circumstances justifying the complaint,
- in case of receiving a damaged product - a photo showing the damage,
- indication whether the complaint is to be considered on the basis of warranty
- indication of the desired method of settling the complaint and replacement of the goods.
- The Seller is liable under the warranty if a physical defect is discovered before the product's expiration date, but no later than one year from the date the Goods were delivered to the Customer. Within this period, the Customer may withdraw from the Sales Agreement or submit a declaration requesting a replacement of the Goods with defect-free ones. If the Customer requested a replacement of the Goods with defect-free ones, the period for withdrawal from the Sales Agreement begins upon the ineffective expiry of the replacement period. The expiry of any period for discovering a defect does not exclude the exercise of warranty rights if the Seller fraudulently concealed the defect.
- A Customer who is an Entrepreneur loses their warranty rights if they fail to inspect the Goods within the time and manner customary for Goods of this type and fail to promptly notify the Seller of any defect they discover. To meet the above deadline, it is sufficient to send a notification of the defect before its expiry, with the Seller's acknowledgment of receipt.
- The Seller is released from liability under warranty if the Customer was aware of the defect at the time of concluding the contract. When the subject of sale are goods designated only as to their type or goods that are to be created in the future, the Seller is released from liability under warranty if the Customer was aware of the defect at the time of delivery of the Goods.
- The Seller will respond to any complaint regarding the Goods or the performance of the Sales Agreement submitted by the Customer within 14 days of the request containing the complaint. Written notification of the outcome will be sent to the Customer's email or postal address. Failure to respond within the specified timeframe will be deemed a positive consideration of the complaint.
- The Customer may submit a complaint to the Seller regarding the use of free services provided electronically, including the Online Wholesale service. The complaint may be submitted electronically and sent to the following address: sklep@decare.plIn the complaint, the Customer should include a description of the problem. The Seller will promptly, but no later than 14 days, review the complaint and provide the Customer with a response.
- If the complaint is accepted, the Seller will refund the Customer for the complained goods to the account indicated by the Customer or will exchange them within 14 days from the date of notifying the Customer of the positive consideration of the complaint.
- The Seller does not accept returns sent cash on delivery.
§ 7. SELLER'S LIABILITY
- The Customer is aware that in connection with the modification, modernization, expansion, maintenance of the system or software, as well as in the event of force majeure or actions of unauthorized persons, interruptions or disruptions in the use of the Seller's website and thus the provision of services electronically may occur, for which the Seller is not liable.
- The Seller shall not be liable for non-performance or improper performance of services provided electronically if this was caused by the actions of third parties.
- The Seller is not responsible for any Customer's inability or disruption to use the Seller's website, or any loss of Customer data resulting therefrom. The Seller is not liable for any damage caused by Customers' actions or omissions, in particular for their use of the website in a manner inconsistent with applicable law or these Terms and Conditions.
- The Seller's liability towards the Customer for damage is limited to damage caused to the Customer as a result of the Seller's intentional actions and to the extent corresponding to the damage actually suffered (damnum emergens). Pursuant to Article 558 §1 of the Civil Code in conjunction with Article 566 §1 of the Civil Code, the Seller completely excludes liability towards Customers for physical and legal defects for redress of damage in connection with the exercise of warranty rights.
§ 8. FREE SERVICES
- The Seller provides free services to Customers electronically:
- newsletter;
- Maintaining a Customer Account;
- Notification of availability of Goods
- The services indicated in §8 section 1 above are provided 7 days a week, 24 hours a day.
- The Seller reserves the right to select and change the type, form, time and method of granting access to selected services listed, about which it will inform Customers in a manner appropriate to the change of the Regulations.
- The Newsletter service is available to any Customer who enters their email address using the registration form provided by the Seller on the Wholesale Store's Website. After submitting the completed registration form, the Customer will immediately receive an activation link via email to the email address provided in the registration form, confirming their subscription to the Newsletter. Upon activation of the link by the Customer, an agreement for the electronic provision of the Newsletter service is concluded.
- The Newsletter service involves the Seller sending electronic messages to an email address containing information about new products or services offered by the Seller. The Newsletter is sent by the Seller to all subscribed Customers.
- Each Newsletter addressed to specific Customers contains in particular: information about the sender, a completed "subject" field specifying the content of the message, and information on the possibility and method of unsubscribing from the free Newsletter service.
- The Customer may at any time opt out of receiving the Newsletter by unsubscribing using the link provided in each e-mail sent as part of the Newsletter service or by deactivating the appropriate field in the Customer Account.
- The Customer Account Management service is available after Registration on the terms described in the Regulations and consists of providing the Customer with a dedicated panel within the Wholesale Website, enabling the Customer to modify the data provided during Registration, as well as to track the status of orders and the history of orders already completed.
- The Customer who has registered may submit to the Seller a request to delete the Customer Account, and if the Seller submits a request to delete the Customer Account, it may be deleted within 14 days of submitting the request.
- You can opt out of the free Notify Me of Availability service at any time by not using the service available on the Wholesaler's Website.
- The Seller is entitled to block access to the Customer Account and free services if the Customer acts to the detriment of the Seller, i.e., advertises another entrepreneur or product; posts content unrelated to the Seller's business; posts false or misleading content; fails to accept a cash-on-delivery shipment; as well as if the Customer acts to the detriment of other Customers, violates the law or the Terms and Conditions, and also when blocking access to the Customer Account and free services is justified by security reasons – in particular: the Customer breaching the security of the Wholesale Website or other hacking activities. Blocking access to the Customer Account and free services for the above reasons lasts for the period necessary to resolve the issue constituting the basis for blocking access to the Customer Account and free services. The Seller will notify the Customer of blocking access to the Customer Account and free services electronically to the address provided by the Customer in the registration form.
§ 9. PERSONAL DATA PROTECTION
- The Data Controller is the Seller – De Care Group Sp. z o. o. and partners, a limited joint-stock partnership, with its registered office in Czosnów 05-152, at ul. Pieńków 147A.
- Personal data will be processed by the Seller for the purpose of executing the contract, marketing its own products and fulfilling the obligations imposed on the Seller by law.
- Users have the right to access their data, request its rectification, restrict its processing, transfer it to another controller, object, as well as the right to withdraw consent and file a complaint with a supervisory authority if it is determined that the processing of personal data violates the provisions of the GDPR. These rights can be exercised by sending a written notification to the address listed in § 1, point 1 or to: iod@decare.pl

§ 10. TERMINATION OF THE CONTRACT (DOES NOT APPLY TO SALES CONTRACTS)
- Both the Customer and the Seller may terminate the agreement for the provision of services by electronic means at any time and without giving reasons, subject to the rights acquired by the other party before the termination of the above-mentioned agreement and the provisions below.
- The Customer who has registered terminates the contract for the provision of services electronically by sending an appropriate declaration of intent to the Seller, using any means of distance communication that enables the Seller to become familiar with the Customer's declaration of intent.
- The Seller terminates the contract for the provision of services electronically by sending an appropriate declaration of intent to the Customer to the e-mail address provided by the Customer during Registration.
§ 11. FINAL PROVISIONS
- None of the provisions of these Terms and Conditions are intended to violate the User's rights. Nor may they be interpreted as such, as in the event of any inconsistency between any part of these Terms and Conditions and applicable law, the Seller declares unconditional compliance with and application of such law in lieu of the challenged provision of these Terms and Conditions.
- The Seller has the right to change these regulations for important reasons, such as:
- the need to adapt the regulations to legal provisions that have a direct impact on the regulations and result in the need to modify the regulations in order to maintain compliance with the law;
- the need to adapt the regulations to recommendations, orders, rulings, resolutions, interpretations, guidelines or decisions of authorized public authorities;
- expansion or change of the functionality of the Wholesaler, including the introduction of new services provided electronically or change of existing functionalities of the Wholesaler;
- change in the technical conditions for the provision of services electronically;
- the need to remove any ambiguities, errors or typographical mistakes that may occur in the regulations;
- change of contact details, names, identification numbers, e-mail addresses or links provided in the regulations;
- counteracting abuses;
- improving customer service;
- changing the process of concluding contracts through the Wholesaler.
